CONTRACT (public offer)

Moscow 01.01.2014.

Close corporation “Runa” represented by Chief Executive officer Goruchkin Vadim Alexandrovich acting under the Articles of association hereinafter referred to as “the Executor” offers to purchase technical support service with respect to the software product called “Runa WFE” (“Technical support service”) and assumes obligations specified in this Contract. The offer is directed to any counterparty (legal entity or individual entrepreneur) who will accept it. Such counterparty shall be hereinafter referred to as “the Customer”


Article 1. Subject of the Contract

1.1. The Executor shall provide Technical support service upon request of the Customer. The providing of Technical support service must be fully prepaid (100 % of the service fee calculated according to the terms and conditions of this contract).


Article 2. Terms and conditions of service rendering

2.1. Technical support service is provided upon request of the Customer made via Executor’s web-site runawfe.org. Inquiry answer shall be given via electronic mail.

2.2. The Executor shall give an appropriate answer within two (2) business days.

2.3. The Customer may choose one of the following two technical support options:

- In the “Basic technical support” of the Customer is entitled to make not more than ten (10) requests per month,

- In the “Advanced technical support” of the Customer is entitled to make not more than fifteen (15) requests per month.

2.4. The deadline for providing Technical support service is ten (10) business days. If during this period the Customer’s problem is not solved, the problem shall be considered unsolvable and the request shall be left out of the monthly limit.


Article 3. Payment

3.1. The service fee is $1,200 USD (twelve hundred United States dollars) for the “Basic technical support”. The service fee is $1,800 USD (eighteen hundred United States dollars) for the “Advanced technical support”. The service fee is paid within 365 calendar days.

3.2. If the Customer didn’t use the full amount of services during the month the corresponding amount of the service fee is not deducted from the next payment.

3.3. In order to get the Service fee the Executor shall submit an invoice to the Customer. If the Customer pays the Service fee according to the invoice it will be the acceptance of the contract offer. When accepting the Customer must indicate the selected option of technical support (“Basic technical support” or “Advanced technical support”) and the email address which will be used for the technical support requests.

There are the following ways to pay the service fee:

- Cashless remittance.

- Via the electronic payment system.

3.4. The acceptance of the contract offer is full and unconditional. The acceptance of the contract offer means consent to receive the Technical support Service on the terms and conditions of this Contract and submitted invoice.


Article 4. Responsibilities of the parties

4.1. The parties are responsible for violation or improper execution of this Contract in accordance with then effective legislation of the Russian Federation.

4.2. All disputes arising from the execution of this Contract shall be settled though amicable negotiations between the Parties. If no settlement can be reached the dispute shall be submitted to the Arbitration tribunal of Moscow, in accordance with then effective legislation of the Russian Federation.


Article 5. Validity period and special conditions

5.1. This Contract shall come into effect at the moment when the Customer accepts the offer. This Contract expires in 365 days from its acceptance.

5.2. The Customer is entitled to decline providing of Technical support service (according to p. 1.1 of this Contract) before the term of the Contract expires. The Customer must notify the Executor in written form of his intention to decline not less than thirty (30) days in advance. Giving such written notice doesn’t release the Customer from the obligation to pay for the Technical support service which had been previously provided by the Executor.
